Differences

<b>BRANCH</b>

A branch consists of a delegation of a non-resident company that establishes a second establishment in another territory,which has a certain autonomy that depends directly on the parent company.

The branch may maintain a continuous activity,through a permanent representative with the necessary powers to fulfill its functions, always under the subordination to the guidelines of the parent company.

It has the same tax obligations as the rest of the entities resident in Spain.

<b>SUBSIDIARY / S.L.</b>

A subsidiary is a new Spanish commercial company with its own legal personality and independent of the parent company,regardless of whether it is formed through foreign capital.

The subsidiaries have their own share capital, bylaws and management bodies,and the operational decisions they make do not affect the parent company.

<b>REPRESENTATIVE OFFICE</b>

A representative office is an entity without its own legal personality that depends directly on its parent company, and does not develop economic activities.

It has a tax representative of the parent company who has powers, and is limited to performing auxiliary functions of coordination and collaboration.

In general, representative offices have no tax obligations in Spain.
